Please read these Affiliate Terms carefully. By applying to, being accepted into, or participating in the Agent Setup Affiliate Program, you ("Affiliate," "you," or "your") agree to be bound by these Affiliate Program Terms and Conditions. These Affiliate Terms are separate from, and in addition to, the Agent Setup Terms of Service and Privacy Policy.
01 The Program
Agent Setup LLC ("Agent Setup," "we," "us," or "our") operates an affiliate program (the "Program") through which approved Affiliates may earn commissions for referring new paying customers to Agent Setup. The Program is administered on our behalf through a third-party affiliate platform, which provides your unique referral link, tracks qualifying referrals, and manages commission reporting and payouts.
These Affiliate Terms govern your participation in the Program. We may update them from time to time as described in Section 14.
02 Eligibility and Enrollment
To participate, you must apply through our affiliate sign-up page and be approved by Agent Setup. We may accept or decline any application at our sole discretion. To be eligible you must:
- Be at least 18 years of age and able to form a legally binding contract;
- Provide accurate and complete registration and payout information;
- Comply with these Affiliate Terms and all applicable laws and regulations.
Enrollment is personal to you or your business entity and may not be transferred or assigned without our prior written consent.
03 Commission
Subject to these Affiliate Terms, Agent Setup pays the following commission on Qualifying Sales generated through your referral link:
- Commission rate: 75% of the net purchase amount of the Affiliate's first Qualifying Sale from a referred customer, paid one time per referred customer.
- Applies to: Agent Setup's self-serve, one-time build purchases (currently the Starter, Growth, Pro, and Enterprise tiers as listed on our Pricing page). Custom, negotiated, or Statement-of-Work engagements are not automatically included and may be commissioned separately at our discretion.
- Net purchase amount means the price actually paid by the referred customer, excluding taxes, payment-processing fees, refunds, chargebacks, and any discounts.
Commission rates, structure, and eligible products are set by Agent Setup and may be changed on a going-forward basis. Any change will not affect commissions already earned and approved before the change takes effect.
04 Attribution and Tracking
Referrals are tracked by the affiliate platform using cookies and referral parameters on a last-click basis. When a visitor arrives through your referral link and completes a Qualifying Sale within the attribution window, the sale is credited to you.
- Attribution window: 60 days from the visitor's most recent click on your referral link.
- Attribution depends on the customer's browser accepting cookies and completing checkout in the same tracked session context. Agent Setup is not responsible for referrals that cannot be tracked due to blocked cookies, ad blockers, cross-device journeys, or customer privacy settings.
- Where two or more Affiliates could claim the same sale, the most recent qualifying click controls.
05 Qualifying Sales and Approval
A "Qualifying Sale" is a completed purchase by a new customer who (a) reached Agent Setup through your valid referral link within the attribution window, (b) was not an existing or prior customer, lead, or contact of Agent Setup, and (c) paid in full and did not refund, charge back, or cancel.
Commissions are recorded as pending upon a sale and become approved after a review and clearance period, typically thirty (30) days, to account for refunds, disputes, and fraud checks. We reserve the right to withhold, reverse, or reclaim any commission associated with a sale that is refunded, charged back, fraudulent, or otherwise not a Qualifying Sale.
06 Payouts
- Minimum payout threshold: Approved commissions are paid once your approved balance reaches at least USD $50.
- Method: Payouts are issued through the affiliate platform's supported payout methods (which may include PayPal, Wise, or bank transfer). You are responsible for maintaining accurate payout details.
- Currency: All commissions are calculated and paid in U.S. dollars.
- Taxes: You are solely responsible for all taxes on commissions you earn. You may be required to provide tax documentation (such as a W-9 or W-8BEN) before payout. Commissions are paid gross of any taxes unless withholding is required by law.
07 Promotion Guidelines
You may promote Agent Setup using honest, accurate methods that reflect well on the brand. You agree that you will NOT:
- Send unsolicited email, SMS, or other spam, or violate the CAN-SPAM Act or any anti-spam law;
- Bid on Agent Setup trademarks, brand terms, or misspellings in paid search, or use paid search ads that direct to a URL containing agentsetup.io as the display or destination domain;
- Make false, misleading, or unsubstantiated claims about Agent Setup, its services, pricing, or results;
- Represent yourself as an employee, agent, or official representative of Agent Setup, or purport to speak or contract on our behalf;
- Use cookie stuffing, forced clicks, misleading redirects, malware, or any deceptive tracking practice;
- Offer unauthorized rebates, cash-back, or incentives that violate Program rules;
- Promote Agent Setup on sites containing unlawful, infringing, hateful, or adult content;
- Self-refer, or generate referrals through your own purchases or accounts you control.
Any of the above may result in forfeiture of commissions and removal from the Program.
08 Trademarks and Brand Use
Agent Setup grants you a limited, revocable, non-exclusive, non-transferable license to use the Agent Setup name and approved marketing assets solely to promote Agent Setup under the Program, in accordance with any brand guidelines we provide. You acquire no ownership rights in our trademarks or content, and all goodwill from your use inures to Agent Setup. We may revoke this license at any time. You may not register domains, social handles, or business names that incorporate our marks.
09 Relationship of the Parties
You are an independent contractor. Nothing in these Affiliate Terms creates any partnership, joint venture, agency, franchise, or employment relationship between you and Agent Setup. You have no authority to make or accept any offers or representations on our behalf, and you will not make any statement that contradicts this.
10 Confidentiality
Non-public information you receive through the Program, including commission structures, unreleased offers, and platform data, is confidential. You agree to use it only to participate in the Program and not to disclose it to third parties without our prior written consent.
11 Term and Termination
These Affiliate Terms remain in effect while you participate in the Program. Either party may terminate participation at any time, for any reason, with or without notice. Upon termination:
- Your referral links will be deactivated and your license to use our marks ends immediately;
- Approved commissions earned before termination that meet the payout threshold will be paid in the ordinary course, unless termination was for fraud or breach of these Affiliate Terms, in which case unpaid commissions may be forfeited;
- Sections that by their nature should survive (including Confidentiality, Disclaimers, Limitation of Liability, and Indemnification) will survive.
12 Disclaimer of Warranties
THE PROGRAM AND THE AFFILIATE PLATFORM ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. AGENT SETUP DOES NOT WARRANT THAT THE PROGRAM, TRACKING, OR PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT EVERY REFERRAL WILL BE TRACKED. WE DO NOT GUARANTEE ANY MINIMUM LEVEL OF EARNINGS, TRAFFIC, OR CONVERSIONS.
13 Limitation of Liability and Indemnification
TO THE FULLEST EXTENT PERMITTED BY LAW, AGENT SETUP LLC AND ITS MEMBERS, OFFICERS, EMPLOYEES, AND CONTRACTORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THE PROGRAM. OUR TOTAL AGGREGATE LIABILITY TO YOU UNDER THESE AFFILIATE TERMS SHALL NOT EXCEED THE TOTAL COMMISSIONS PAID OR PAYABLE TO YOU IN THE THREE MONTHS PRECEDING THE CLAIM.
You agree to indemnify, defend, and hold harmless Agent Setup and its personnel from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your promotional activities, your breach of these Affiliate Terms, or your violation of any law or third-party right.
14 Changes, Governing Law, and Dispute Resolution
We may modify these Affiliate Terms or the Program at any time by posting an updated version to this page with a new effective date. Your continued participation after changes are posted constitutes acceptance.
These Affiliate Terms are governed by the laws of the State of California, without regard to its conflict of law principles. Any dispute shall first be subject to good-faith negotiation and, if unresolved within 30 days, resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules in Los Angeles County, California. You waive any right to participate in a class action or class-wide arbitration.
